Terms of Use

1. Who We Are

RASAT is operated by RASAT FZ-LLC ("RASAT", "we", "us", or "our"), a company registered in the United Arab Emirates. The RASAT platform consists of our mobile applications (iOS and Android), our website at zawed.app, and any related services we operate (collectively, the "Platform").

2. Acceptance of These Terms

By creating a RASAT account or using the Platform, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, you must not use the Platform.

If you are using RASAT on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Eligibility

• You must be at least 18 years of age to create an account or place a bid. RASAT is not directed at, and we do not knowingly collect data from, persons under 18.
• You must have the legal capacity to enter into binding contracts in your country of residence.
• You must not be barred from receiving the Platform under applicable law (including UAE sanctions and export-control regulations).
• You must provide accurate, current, and complete information during registration and keep it up to date.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@rasat.app of any unauthorised use.

You may sign in using email and password, Sign in with Apple, or Sign in with Google. If you use a third-party sign-in method, you are also subject to that provider's terms of service.

You may delete your account at any time from Account → Settings → Delete Account. After deletion, your personal data is removed in line with our Privacy Policy, except where retention is required by law.

5. The Marketplace — Our Role

RASAT operates as a venue that connects independent buyers and sellers. Sellers are independent businesses or individuals who list and sell their own goods. RASAT is not the seller of items listed on the Platform and is not a party to the contract of sale between a buyer and a seller.

While we verify sellers before granting them the ability to list and broadcast, we do not pre-screen every listing or stream. We do not guarantee the quality, safety, legality, or accuracy of items listed, nor do we guarantee that a seller will fulfil any order. Use of the Platform is at your own risk.

6. Buying — Auctions and Orders

Bids are binding. When you place a bid during a livestream auction and your bid is the highest at the moment the auction timer ends, you have entered into a binding contract to purchase the item at that price. You must complete payment within 24 hours of winning.

• All prices are displayed and charged in UAE Dirhams (AED) unless otherwise indicated.
• Payments are processed by Stripe. RASAT never sees or stores your full card number.
• Once payment is confirmed, the seller is responsible for preparing and shipping your item. Estimated shipping windows are stated by each seller and are not guaranteed by RASAT.
• Buyer-initiated returns and refunds are governed by the seller's own published return policy, except where mandatory consumer-protection law (including UAE Federal Consumer Protection Law No. 15 of 2020) requires otherwise.

7. Selling on RASAT

To sell on RASAT, you must apply to become a seller and be approved by our review team. Approval is at our sole discretion. Once approved, you may list items, schedule and broadcast livestreams, and receive payouts via Stripe Connect.

• You agree to list only items you own or are legally authorised to sell, and which are accurately described.
• You agree to fulfil all winning auctions promptly. Repeatedly cancelled or unfulfilled orders may result in suspension or removal from the Platform.
• You agree to ship items within the timeframe communicated to the buyer and to provide tracking information where available.
• You agree to handle returns, defects, and disputes in good faith and in line with applicable UAE consumer-protection law.

Platform fee. RASAT charges a platform commission of 10% of the sale price on each successful auction, deducted automatically by Stripe before payout. The remaining 90% is transferred to the seller's connected Stripe account.

Stripe Connect. Sellers receiving payouts must complete Stripe Connect onboarding and agree to Stripe's Connected Account Agreement in addition to these Terms.

8. Prohibited Items and Conduct

You agree not to list, bid on, or transact in items that are illegal, unsafe, counterfeit, or otherwise prohibited. The following are not permitted on RASAT:

• Counterfeit, replica, or trademark-infringing goods
• Stolen property or property of unverifiable provenance
• Weapons, ammunition, or explosives of any kind
• Drugs, controlled substances, prescription medication, or paraphernalia
• Tobacco, vaping products, and alcohol (subject to local UAE regulations)
• Live animals, animal parts from protected species, or items derived from endangered wildlife
• Adult content, escorting services, or items intended for sexual use
• Items that infringe third-party intellectual property rights
• Items that promote hatred, violence, terrorism, or discrimination
• Currency, financial instruments, or anything that functions as a digital good or subscription
• Items prohibited by UAE law or by the import/export rules of the buyer's jurisdiction

You also agree not to:

• Bid without intent to pay, or use the Platform to manipulate auction prices ("shill bidding")
• Harass, threaten, or abuse other users in chat, comments, reviews, or direct interactions
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to access, scrape, reverse-engineer, or interfere with the Platform or its security
• Use the Platform for money-laundering, sanctions evasion, or any unlawful purpose
• Solicit users to transact off-platform to avoid platform fees

9. User Content

You retain ownership of the photos, videos, livestream recordings, posts, comments, reviews, and chat messages you submit ("User Content"). You grant RASAT a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, display, and distribute your User Content for the purpose of operating, promoting, and improving the Platform. This licence ends when you remove the content, except for copies retained for legal, dispute-resolution, or backup purposes.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third party's rights.

10. Reporting and Moderation

We provide tools within the app to report objectionable content (any post, comment, livestream, message, listing, or user profile) and to block abusive users. Reports are reviewed by our trust-and-safety team, typically within 24 hours.

We may, at our sole discretion and without prior notice, remove content, suspend accounts, terminate sellers, or take any other action we consider appropriate to protect the Platform and its users. Repeated violations of these Terms will result in permanent termination.

11. Intellectual Property

The RASAT name, logo, wordmark, app design, and underlying software are the property of RASAT FZ-LLC and are protected under UAE and international intellectual property laws. You may not use any RASAT mark without our prior written permission.

If you believe content on the Platform infringes your copyright or trademark, please send a written notice to legal@rasat.app identifying the infringing content, the rights claimed, and your contact details. We will review and respond promptly.

12. Disputes Between Users

Disputes between buyers and sellers (item not as described, item not received, return refused, etc.) should first be raised directly with the other party. If unresolved, either party may submit the dispute to RASAT via Account → Settings → Report a Problem. We will mediate in good faith but are not obliged to resolve disputes in any particular party's favour.

Where a chargeback or payment dispute is opened with Stripe or a card issuer, RASAT may withhold the disputed funds from seller payouts until resolution, in line with our agreement with Stripe.

13. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, RASAT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Platform will be uninterrupted, error-free, or secure.

RASAT does not warrant the accuracy, reliability, or quality of any item listed by a seller, any information provided by a buyer or seller, or the conduct of any user.

14. Limitation of Liability

To the maximum extent permitted by law, RASAT (and its officers, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform — even if RASAT has been advised of the possibility of such damages.

In no event shall RASAT's total aggregate liability to you for any claim arising out of or relating to the Platform or these Terms exceed the greater of (a) the total fees paid by you to RASAT in the 12 months preceding the event giving rise to the claim, or (b) AED 500.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable UAE consumer-protection or other mandatory law.

15. Indemnification

You agree to indemnify and hold harmless RASAT, its officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content you submit.

16. Termination

You may stop using the Platform and delete your account at any time. We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, our policies, or applicable law, or if continued provision of the Platform to you may expose RASAT or other users to legal or financial risk.

Upon termination, sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will continue to apply.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, except that RASAT may seek injunctive or equitable relief in any court of competent jurisdiction.

Where you are a consumer, mandatory consumer-protection rules of your country of residence may also apply.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email at least 14 days before they take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree, you must stop using the Platform and may delete your account.

19. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and RASAT regarding the Platform.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them to any affiliate or in connection with a merger, acquisition, or sale of assets.
• No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and RASAT.

20. Apple-Specific Terms

If you accessed the RASAT mobile app via the Apple App Store, the following additional terms apply:

• These Terms are between you and RASAT only, and not with Apple. Apple is not responsible for the app or its content.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any product-liability or third-party-rights claims.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
